Terms of Service

1. Acceptance of Terms

By accessing or using Gephra Career ("the Service"), a product of Gephra Ltd ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Gephra Ltd. We may update these Terms from time to time, and your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

2. Description of Service

Gephra Career is an AI-powered career intelligence and resume optimization platform that helps users:

• Analyze and optimize resumes for ATS compatibility
• Compare resumes against job descriptions
• Track job applications and career progress
• Receive personalized career insights and recommendations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Use only one account (no multiple accounts)
• Be at least 16 years old (or the age of majority in your jurisdiction)

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using a strong, unique password

We are not liable for any loss or damage arising from your failure to protect your account.

3.3 Account Termination

You may terminate your account at any time by deleting it from your profile settings. We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect the Service or other users.

4. Acceptable Use

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service to:

• Optimize your own resumes or resumes you have permission to optimize
• Track your own job applications
• Access career insights for personal use

4.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload, post, or transmit any content that is:
  • False, misleading, or fraudulent
  • Infringing on intellectual property rights
  • Defamatory, harassing, or abusive
  • Containing viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Resell, sublicense, or commercialize the Service without authorization
• Use the Service to create resumes for others as a commercial service
• Impersonate any person or entity

4.3 Content Guidelines

When uploading resumes or job descriptions, you warrant that:

• You own or have the right to use the content
• The content is accurate and truthful
• The content does not violate any third-party rights

4.4 Email Communications

By using the Service, you agree to receive:

• Promotional emails: You can unsubscribe at any time via unsubscribe links or by contacting us
• Transactional emails: Required for Service operation (account verification, password resets, security notifications). You cannot opt out of transactional emails.

We use email tracking (opens, clicks) for promotional emails to improve our communications. See our Privacy Policy for details.

4.5 Feedback and Reviews

When you provide feedback through our feedback module, you grant us a non-exclusive, worldwide, royalty-free license to:

• Use your feedback for product improvement and service enhancement
• Publish anonymized feedback publicly (e.g., testimonials, reviews)
• Analyze feedback for analytics and reporting purposes

You retain ownership of your feedback, but grant us the right to use it as described above. You can request deletion of your feedback at any time by contacting us.

5. Intellectual Property

5.1 Service Ownership

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Gephra Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

5.2 Your Content

You retain ownership of any content you upload to the Service (resumes, job descriptions, etc.). By using the Service, you grant us a limited, non-exclusive, worldwide license to:

• Process and analyze your content to provide the Service
• Store your content (if you choose to save it)
• Generate optimized versions of your content

This license is necessary for us to provide the Service and terminates when you delete your content or account.

5.3 AI-Generated Content

Optimized resumes, cover letters, and recommendations generated by our AI are provided for your use. However:

• You are responsible for reviewing, editing, and ensuring the accuracy of all AI-generated content before using it
• We do not guarantee that AI-generated content will:
  • Be 100% accurate or error-free
  • Result in job interviews or offers
  • Meet all requirements of specific employers or ATS systems
• You should always personalize and verify AI-generated content before submitting job applications
• We are not liable for any consequences resulting from the use of AI-generated content

6. Service Availability

6.1 No Guarantees

We strive to provide a reliable Service, but we do not guarantee:

• Uninterrupted or error-free operation
• 100% accuracy of ATS scores or recommendations
• That the Service will meet all your requirements
• That job applications will result in interviews or offers

6.2 Maintenance and Updates

We may perform maintenance, updates, or modifications to the Service, which may result in temporary unavailability. We will attempt to provide notice of scheduled maintenance when possible.

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEPHRA LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Damages resulting from use or inability to use the Service
• Damages resulting from errors, omissions, or inaccuracies in the Service
• Damages resulting from job application outcomes

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

7.3 Jurisdiction-Specific Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Gephra Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Service

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.

9.2 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@gephra.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

9.3 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Kigali International Arbitration Centre (KIAC)., except that either party may seek injunctive relief in any court of competent jurisdiction.

9.4 Class Action Waiver

You agree that disputes will be resolved individually and not as part of a class action, consolidated action, or representative proceeding.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending you an email notification (for significant changes)
• Displaying a notice in the Service

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gephra Ltd regarding the Service and supersede all prior agreements and understandings.
